Terms of Service

1. Agreement and Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between Baumann Systems, LLC, doing business as Sky Schedule ("Sky Schedule," "we," "us," or "our") and you, the user of our platform. By creating an account, accepting an invitation, or using any part of the Sky Schedule platform at app.skyschedule.io, you agree to be bound by these Terms.

If you are a flight school owner or administrator creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to both the individual and the organization.

You must be at least 18 years of age to create a flight school account. Users under 18 may access the platform only through enrollment by an authorized flight school administrator.

If you do not agree to these Terms, do not use Sky Schedule.

2. The Service and Accounts

Sky Schedule is a cloud-based flight school management platform that provides tools for scheduling, billing, document management, training records, and related operational functions. Sky Schedule is software. We are not a flight school, flight instructor, payment processor, escrow agent, or aviation authority.

2.1 Account Types

  • Flight School Accounts: Created by owners or administrators who subscribe to Sky Schedule on behalf of their organization. The account holder binds the organization to these Terms.
  • Instructor and Staff Accounts: Created by invitation from a flight school administrator. Use is subject to the policies of the flight school and these Terms.
  • Student Accounts: Created by invitation or through a school-configured onboarding flow. Students access only the workspace of the flight school that enrolled them.

2.2 Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at ryan@skyscheduler.info if you suspect unauthorized access. Sky Schedule is not liable for losses resulting from unauthorized account access caused by your failure to maintain credential security.

2.3 Organization Data

Data entered into a flight school account belongs to that organization. Individual users (instructors, students) do not own the organizational account or its data. Upon termination of a flight school account, data handling is governed by Section 17 of these Terms.

3. Flight School as Operator and Merchant of Record

This section describes the most important structural relationship on the platform.

Each flight school using Sky Schedule is an independent business operator. The flight school — not Sky Schedule — is responsible for:

  • Configuring its own onboarding flows, required documents, and compliance fields
  • Determining what personal information to collect from students and staff, and providing appropriate notice and consent
  • Setting its own pricing, cancellation policies, invoice terms, and billing practices toward students
  • Compliance with all applicable FAA regulations, aviation safety requirements, and any other federal, state, or local laws governing flight training
  • The accuracy of flight records, Hobbs/Tach logs, training progress entries, and aircraft maintenance data entered into the platform
  • Any sales tax obligations applicable to their transactions

For payment purposes, the flight school is the merchant of record. Charges to students and other payers run through the flight school's connected Stripe account. Sky Schedule facilitates those transactions as a platform but is not a party to the financial relationship between the school and its students.

Sky Schedule is not responsible for how a flight school operates its business, manages its students, or complies with aviation regulations. Use of our platform does not constitute an endorsement of any flight school's practices.

4. Subscription Fees (Flight School to Sky Schedule)

Access to Sky Schedule requires an active subscription paid by the flight school to Baumann Systems, LLC.

4.1 Subscription Pricing

Subscription pricing is based on the plan selected at signup and may be structured per aircraft, per user, or by another metric as described in your plan details. Current pricing is displayed at the time of subscription enrollment.

4.2 Billing and Renewal

  • Subscriptions are billed on a monthly or annual basis depending on your selected plan.
  • Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date.
  • If a payment fails, Sky Schedule will notify the account holder by email. Accounts with failed payments may be suspended after reasonable notice.

4.3 Cancellation

  • You may cancel your subscription at any time through your account settings or by contacting us at ryan@skyscheduler.info.
  • Cancellation takes effect at the end of the current billing period. You will retain access through the end of the paid period.
  • Sky Schedule does not issue refunds for unused portions of a subscription period except where required by applicable law.

4.4 Price Changes

Sky Schedule may change subscription pricing at any time with at least 30 days' written notice via email or in-platform notification. Continued use of the platform after the notice period constitutes acceptance of the new pricing.

5. Platform Transaction Fees

In addition to subscription fees, Sky Schedule charges a platform fee on payment transactions processed through the platform on behalf of flight schools.

5.1 Card Transaction Fee

Sky Schedule charges a platform fee of 1% of the transaction amount (minimum $0.50 USD per transaction) on eligible card payments processed through the platform via Stripe Connect. This fee is deducted automatically as a Stripe Connect application fee. The flight school receives the net proceeds in their connected Stripe account.

This platform fee is separate from and in addition to Stripe's standard card processing fee of 2.9% + $0.30 per transaction, which is charged by Stripe directly to the flight school's connected account. Sky Schedule does not control Stripe's processing fees.

The platform fee applies to the following transaction types, including but not limited to:

  • Invoice payments made by card
  • Card-on-file charges initiated by school administrators
  • Discovery and checkout payments
  • Wallet or balance top-up transactions
  • Package and membership purchases

5.2 ACH / Bank Transfer Fee

For ACH bank transfer payments processed through the platform, Sky Schedule charges a platform fee of 0.2% of the transaction amount. This is in addition to Stripe's standard ACH processing fee of 0.8%, for a combined processing rate of 1.0% on ACH transactions. ACH fees are subject to Stripe's standard ACH caps and minimums per their current fee schedule.

5.3 School-Configured Processing Fee

Flight schools may optionally enable a student-facing processing fee (sometimes displayed as a "convenience fee" or "processing fee") that is added to invoice totals. This fee is set and controlled by the flight school, not by Sky Schedule. Sky Schedule calculates and displays the fee based on the school's configuration but does not receive any portion of it. The flight school is solely responsible for determining whether such a fee is permissible under applicable law and for disclosing it appropriately to their students.

5.4 Non-Refundability of Platform Fees

Sky Schedule's platform fees are non-refundable. If an underlying transaction is refunded by the flight school to a student, the Sky Schedule platform fee on that transaction is not automatically reversed. Refund of the platform fee in connection with a disputed or refunded transaction is at Sky Schedule's sole discretion.

5.5 Fee Changes

Sky Schedule may modify platform transaction fees with at least 30 days' notice via email or in-platform notification. Continued use of payment processing features after the notice period constitutes acceptance of the updated fees.

6. Stripe Connect and Payment Processing

Payment processing on Sky Schedule is powered by Stripe. Flight schools must connect a Stripe account to use billing and payment features.

  • Flight schools must accept and comply with Stripe's Connected Account Agreement. Sky Schedule does not control and is not responsible for Stripe's terms, fees, payout timing, account holds, or payment restrictions.
  • Stripe is solely responsible for the storage and security of full payment card numbers and banking credentials. Sky Schedule does not store full card numbers, CVV codes, or bank account numbers.
  • Sky Schedule stores limited payment display data (last four digits, card brand, expiration date, Stripe payment method identifiers) for the purpose of displaying billing information within the platform.
  • Payout timing, account reserves, and payment holds are governed by Stripe's policies and are outside Sky Schedule's control.
  • Sky Schedule is not a bank, money transmitter, or payment processor and does not hold funds on behalf of any party.

7. Card on File and Authorized Charges

Sky Schedule enables flight schools to store payment methods on file for students and to initiate charges against those payment methods.

  • By adding a payment method to your account, you authorize Sky Schedule and the flight school associated with your account to store that payment method via Stripe and to initiate future charges in accordance with your school's billing practices and these Terms.
  • Flight school administrators may initiate charges to payment methods on file for flight training fees, lessons, invoices, and other services provided by the school.
  • Sky Schedule provides the technical capability to initiate these charges but is not responsible for the accuracy, appropriateness, or authorization of charges initiated by flight school staff.
  • Failed charges due to expired cards, insufficient funds, or issuer declines are not the liability of Sky Schedule. Schools are responsible for managing failed payment recovery.
  • If you believe a charge was made to your payment method without authorization, you should contact your flight school directly and, if necessary, initiate a dispute through Stripe's dispute process.

8. Refunds, Chargebacks, and Payment Disputes

8.1 Refunds

Refund decisions for flight training fees and other school-initiated charges are made by the flight school, not by Sky Schedule. Sky Schedule provides refund functionality within the platform that school administrators may use at their discretion. Sky Schedule's platform fee on a refunded transaction is non-refundable unless Sky Schedule determines otherwise at its sole discretion.

8.2 Chargebacks and Disputes

If a payer initiates a chargeback or payment dispute with their bank or card issuer, the dispute is governed by Stripe's dispute process. The flight school's connected Stripe account is typically the party responsible for responding to and bearing the financial liability of chargebacks. Sky Schedule may provide transaction records and supporting documentation in connection with a dispute but does not guarantee any dispute outcome.

8.3 Student-School Billing Disputes

Disputes between a student and a flight school regarding charges, refunds, cancellation fees, or training credits are between those parties. Sky Schedule is not a party to those disputes and has no obligation to adjudicate or resolve them.

8.4 Platform Billing Disputes

If you believe Sky Schedule has incorrectly calculated a platform fee or subscription charge, contact us at ryan@skyscheduler.info within 30 days of the disputed charge. We will review the matter and respond within a reasonable timeframe.

9. Acceptable Use

You agree to use Sky Schedule only for lawful purposes and in accordance with these Terms. You agree not to:

  • Access, tamper with, or attempt to access data belonging to another organization on the platform
  • Charge a payment method without the payer's knowledge or authorization
  • Upload fraudulent, false, or misleading documents or identity information
  • Use the platform to facilitate money laundering, fraud, or any other illegal financial activity
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying architecture of Sky Schedule
  • Copy, reproduce, resell, or redistribute any part of the platform or its features without written permission from Sky Schedule
  • Scrape, crawl, or use automated tools to extract data from the platform without authorization
  • Interfere with or disrupt the platform's infrastructure, servers, or networks
  • Use the CRM, email, or communication features to send unsolicited commercial messages or harass users
  • Misrepresent your identity, credentials, or affiliation when using the platform
  • Circumvent platform fees by processing payments outside the platform while continuing to use Sky Schedule's scheduling or management features in connection with those transactions
  • Use the platform in any way that violates applicable federal, state, or local laws

Violations of this section may result in immediate suspension or termination of your account without notice or refund, and may be reported to Stripe, law enforcement, or other relevant authorities.

10. Intellectual Property

Sky Schedule and all of its underlying technology, code, design, trademarks, logos, and content are the exclusive property of Baumann Systems, LLC. Nothing in these Terms grants you any ownership interest in the platform.

You retain ownership of data and content you upload to Sky Schedule, including documents, flight records, and organizational information. By uploading content to the platform, you grant Sky Schedule a limited, non-exclusive license to store, process, and display that content solely for the purpose of operating the platform on your behalf.

If you provide feedback, suggestions, or ideas regarding Sky Schedule, you grant us an irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

You may not use Sky Schedule's name, logo, or branding without our prior written consent.

11. Third-Party Services and Integrations

Sky Schedule integrates with third-party services to deliver certain features. Your use of those features is also subject to the terms of the applicable third-party provider.

  • Stripe — Payment processing and connected account management. Required for billing features. Governed by the Stripe Connected Account Agreement and Stripe's Terms of Service.
  • Supabase — Database and file storage infrastructure. Sky Schedule's data is hosted on Supabase's cloud infrastructure.
  • Vercel — Application hosting and delivery.
  • Resend — Transactional email delivery. Content included in platform-generated emails (invoices, notifications) is the responsibility of the flight school that configured it.
  • QuickBooks — When enabled by a flight school, invoice and customer data may be synced to QuickBooks. The flight school is responsible for the accuracy of that sync and for their QuickBooks subscription. Sky Schedule is not an accounting service.
  • FlightAware / ADS-B — Aircraft tracking information is provided for informational and operational awareness purposes only. It is not intended for navigation, dispatch, or safety-of-flight decisions.
  • Arlo AI — When enabled, Arlo may process operational data from your account (schedules, rosters, billing summaries) to generate responses. Arlo's output does not constitute professional, legal, financial, or aviation advice. Users should not input unnecessary sensitive personal data into AI chat prompts. Sky Schedule is not liable for decisions made based on AI-generated content.

Sky Schedule is not responsible for the availability, performance, or terms of any third-party service. Outages, changes, or discontinuation of third-party services do not constitute a breach of these Terms by Sky Schedule.

12. Data and Privacy

Your use of Sky Schedule is also governed by our Privacy Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy on matters of data handling, the Privacy Policy controls.

Sky Schedule implements reasonable security measures to protect data stored on the platform. However, no system is completely secure. Sky Schedule is not liable for unauthorized access to data resulting from circumstances outside our reasonable control, including third-party infrastructure failures.

Users are responsible for maintaining their own backups of critical records. Sky Schedule makes reasonable efforts to preserve data integrity but does not guarantee against data loss.

13. Aviation and Regulatory Disclaimer

Sky Schedule is a software platform. We are not an aviation authority, certified flight instructor, or FAA-approved training provider. Nothing on the platform constitutes flight instruction, safety guidance, airworthiness determination, or regulatory compliance advice.

Flight schools are solely responsible for ensuring their operations comply with applicable FAA regulations, including but not limited to requirements related to flight training, aircraft maintenance, recordkeeping, and instructor certification. Sky Schedule's scheduling, logbook, and maintenance tracking features are operational tools only and do not guarantee regulatory compliance.

14. Disclaimer of Warranties

THE SKY SCHEDULE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKY SCHEDULE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SKY SCHEDULE DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DATA OR CONTENT WILL BE ACCURATE OR COMPLETE; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE PLATFORM OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAUMANN SYSTEMS, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF SKY SCHEDULE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SKY SCHEDULE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO SKY SCHEDULE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Baumann Systems, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of or access to Sky Schedule
  • Your violation of these Terms
  • Your billing practices toward students or other payers, including unauthorized charges or undisclosed fees
  • Any chargeback, payment dispute, or regulatory action arising from your use of Stripe Connect
  • Documents, data, or content you upload to the platform
  • Your failure to comply with applicable FAA regulations or other laws governing your flight school's operations
  • Any claim by a student, instructor, or other party arising from your use of the platform to manage your flight school

17. Suspension and Termination

17.1 Termination by You

You may cancel your Sky Schedule subscription at any time. Upon cancellation, your account will remain active through the end of the current billing period. After that date, access to the platform will be suspended.

17.2 Termination by Sky Schedule

Sky Schedule reserves the right to suspend or terminate any account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use policy
  • Non-payment of subscription or platform fees
  • Fraudulent, abusive, or illegal activity on the platform
  • A request or requirement by Stripe to terminate the associated connected account
  • Any conduct that Sky Schedule determines, in its sole discretion, to be harmful to the platform, its users, or third parties

Termination does not entitle you to a refund of any fees paid.

17.3 Data Following Termination

Upon account termination, flight schools will have a reasonable window (as communicated at the time of termination or cancellation) to export their data. After that window, Sky Schedule may delete organizational data from active systems. Sky Schedule may retain billing records, transaction history, and other records as required by law or for legitimate business purposes. Refer to our Privacy Policy for additional detail on data retention.

18. Changes to These Terms

Sky Schedule may update these Terms from time to time. When we do, we will revise the Effective Date at the top of this document. For material changes, we will provide at least 30 days' notice via email or in-platform notification prior to the changes taking effect.

Continued use of Sky Schedule after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the platform and cancel your subscription before the effective date.

19. General Legal Terms

19.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.

19.2 Dispute Resolution

Before initiating any formal legal proceeding, you agree to contact Sky Schedule at ryan@skyscheduler.info and provide a written description of your dispute. We will attempt to resolve the matter informally within 30 days. If the dispute is not resolved informally, either party may pursue the remedies available under applicable law in the courts specified in Section 19.1.

19.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without Sky Schedule's prior written consent. Sky Schedule may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.

19.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

19.5 Entire Agreement

These Terms, together with the Sky Schedule Privacy Policy, constitute the entire agreement between you and Baumann Systems, LLC regarding your use of the platform and supersede all prior agreements or understandings on the subject matter.

19.6 Force Majeure

Sky Schedule is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to third-party infrastructure outages (including Stripe, Supabase, or Vercel), internet disruptions, acts of God, or government actions.

19.7 No Waiver

Sky Schedule's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

19.8 Notices

Notices to Sky Schedule must be sent by email to ryan@skyscheduler.info. Notices to you will be sent to the email address associated with your account. Notices are effective upon sending.
